How does Directors’ liability protection work?

Directors and Officers Liability insurance provides protection to executives when they are held liable in the course of their duties: this insurance covers defense costs and the financial consequences imposed on the insured due to a fault committed in the performance of their executive duties (e.g., violation of bylaws, management errors, breaches of laws and regulations, etc.)

Do you still have some questions?
Whether as a private individual or in the context of a professional activity, it is essential to take out certain insurance policies to protect oneself against certain risks. By paying premiums, the insured can receive compensation in the event of an incident affecting their business activity or property.
Professional insurance is insurance designed to protect you, your employees, and your business in the event of difficulties related to your activity. The Complementary Pension Scheme for the Self-Employed (RCPI) is also called an occupational pension plan. The "RCPI" contract has existed since 2019 and the additional pension contributions are paid by the self-employed individual.
It allows self-employed workers, liberal professions, and company directors with self-employed status to build up additional capital to be used upon retirement. In addition, this pension scheme provides coverage against the risks of Death, Disability, and Accident, while benefiting from a favorable tax framework. When a company causes damage or harm to others, it owes full compensation to the victim, either:
- Under common law (Civil Code)
- Because of its commitments (contract, order, etc.)
If it is not mandatory for some companies, it is nevertheless essential, as failure to have it may jeopardize the sustainability of your business and also damage your reputation.
⚡Operational liability vs. professional liability: key differences
Both operational civil liability insurance (RC exploitation) and professional civil liability insurance (RC pro) cover damages suffered by third parties, but they differ on several points.
➡️ RC exploitation: When the accident concerns a third party. It covers damages caused to third parties during the company's daily activities, without a direct link to your services.
For example:
- Damage to equipment at a client's premises.
- An accident involving a supplier on your premises.
- Injury to a client following the fall of an object in your offices.
➡️ Post-delivery liability: When a client suffers harm resulting from goods/services sold and delivered by the company.
Heating engineer: Three days after installing a boiler, a wiring error by the heating engineer causes the company's boiler to explode. This results in bodily injury (people injured at the company), material damage (damage to buildings), or consequential immaterial damage (business interruption during repairs). These damages are covered by the post-delivery liability insurance taken out by the heating engineer.
➡️ Professional liability: When a client/third party takes action against you. It covers damages directly related to your service, such as an error, fault, negligence, or omission.
For example:
- A travel agency provides the wrong flight times for a group trip, and clients miss the plane.
- A client puts their property up for sale. During the resale, the real estate agent makes a mistake in the energy classification. A client buys the property thinking it is well insulated. In reality, it is an energy sieve requiring major insulation work.
It is mandatory for certain activities in Luxembourg (architects’ and consulting engineers’ firms, travel agencies, real estate agents, property managers).
➡️ Legal Protection: Defense of your interests in case of a dispute.
Garage: The garage owner’s client hits the garage’s mailbox and the garage wall. As the garage owner’s insurer, the company makes a claim against the client.
